University of Siena Spin-off
A university spin-off is a limited company established on the initiative of the university or teaching staff to commercially exploit the results of their research and scientific and technological expertise. From a legal point of view, a spin-off is a normal for-profit company, and researchers, by becoming partners in a business, share in the opportunities and risks typical of entrepreneurs.
Spin-off and Start-up
The University of Siena encourages the establishment of private law entities, in the form of joint-stock companies, with characteristics of university spin-offs or start-ups whose purpose is the entrepreneurial use, in innovative contexts, of research results, as well as the development of new products and services, in line with the criteria defined by Ministerial Decree No. 168 of 10 August 2011.
The establishment of spin-offs and start-ups, in addition to transferring new opportunities for innovation to the economic and entrepreneurial system, is also encouraged in order to: a) create new professional opportunities for young undergraduates, graduates, doctoral students, PhD students and researchers at the University; b) enable university-based companies to access a wider range of opportunities that would otherwise be closed to them (regional, ministerial, European and private tenders aimed solely at companies); c) create and promote a virtuous circle of relationships between university research laboratories and industry.
Spin-offs or start-ups that compete with the teaching, research and consulting activities provided by the University in accordance with internal provisions on services provided on behalf of third parties may not be established.
Support for researchers in setting up a spin-off company
A spin-off company is created whenever individuals working in industrial, academic or institutional contexts launch an entrepreneurial initiative, drawing on their professional experience. The establishment of these particular types of companies is an important tool for technology transfer, allowing the specific knowledge developed in university research facilities to be disseminated on the market and the know-how of young researchers to be developed in the business world.
The support services available to researchers in the process of creating an academic spin-off company are:
- dissemination of models and tools for business intervention and promotion to the research facilities of the University of Siena, for the creation of new high-tech companies (research spin-offs);
- consulting activities aimed at resolving critical phases;
- support during the start-up phase.
The business plan
In order to assess the real business potential of the spin-off company being set up, it is necessary to carry out in-depth and rational analyses of the business idea through a process aimed at verifying its economic, financial and market feasibility.
This process focuses on gathering information, analysing and evaluating the objectives to be achieved, formulating strategies and finally drafting the business plan, which will clearly be used to present the new business idea to the Board of Directors of the University of Siena for approval.
The careful preparation of a business plan therefore represents a unique opportunity for future entrepreneurs to examine all aspects of the new business, thus allowing them to evaluate all the possible consequences of the various financial, production, organisational and commercial strategies.
The business plan is also a fundamental analysis document on which potential investors or financiers can base their assessment of whether to participate in the project. An effective business plan must convince potential investors that they have identified a good investment opportunity, or a solid customer, that they have a project that is unlikely to encounter structural problems over time.
